Begin with the activity
The first question is what the Indian business will actually do. Manufacturing, trading, services and holding investments raise different operational and regulatory questions. A useful entry plan describes the products or services, expected customers, location, employees and transactions with overseas group entities.
An incorporation checklist alone cannot resolve those questions. The commercial description should be specific enough for tax, foreign investment and operational requirements to be assessed against it.
Map ownership and funding together
Identify the proposed shareholders, their jurisdictions and the intended economic interest. Then describe how the Indian operation will be funded and how it expects to pay for its initial and recurring costs. Share capital, borrowing and commercial payments should not be treated as interchangeable categories.
The investor, activity, instrument and transaction terms must be reviewed together. A proposal that looks straightforward commercially may require additional documentation, valuation input or regulatory analysis.
Separate incorporation from operational readiness
Formation of the entity is one part of establishing a business. Banking, accounting, tax registrations, employment arrangements, premises and sector-specific permissions may require separate work. The implementation plan should identify the owner of each task, the required documents and dependencies.
Do not treat an estimated incorporation period as the date on which the entire business will be ready to trade. Review operational milestones independently.
Prepare the records for the first review
Bring a short business description, proposed ownership chart, investor details, funding plan and preliminary financial model. Identify expected transactions between the Indian entity and overseas owners or group companies. Explain any deadline and why it matters.
The initial professional review can then identify unresolved facts, required specialist involvement and a practical sequence of decisions. The resulting engagement should record the scope and allocate responsibility between the investor, company and advisers.
This note provides general information. A transaction-specific conclusion requires review of the facts, records and applicable requirements.
